These Terms are provided as general terms for the Vitale Health platform and may be updated. Please review them carefully each time you use the service.
These Terms of Service (“Terms”) govern your access to and use of the Vitale Health website, applications, and related services (collectively, the “Service”) operated by Vitale Health (“Vitale Health,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Telehealth Consent, and our Medical Disclaimer. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years of age and a resident of the United States to use this Service. By using the Service, you represent and warrant that you meet these requirements and that the information you provide is accurate, current, and complete. The Service is not available in all states, and availability of specific products or treatments may vary based on your location and applicable law.
3. Account Registration and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information, to keep it up to date, and to notify us promptly of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that contain false information or that are used in violation of these Terms.
4. Medical Services
Telehealth services made available through the Service are provided by independently licensed clinicians who are solely responsible for the medical services they provide. Vitale Health does not practice medicine and does not interfere with the independent clinical judgment of these clinicians. A clinician may determine, in their sole professional judgment, that the Service is not appropriate for your needs and may decline to provide a prescription or recommend an alternative course of care. The Service is not for emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately.
5. Orders, Payment, and Refunds
When you submit an intake, you authorize us to charge the payment method on file for the applicable telehealth visit fee and, if a clinician approves treatment, for the cost of the prescribed products. Prices are described at the point of purchase and are subject to change. You are responsible for all charges incurred under your account. 6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law;
- Provide false, misleading, or fraudulent information, including medical information;
- Resell, redistribute, or share any medication or product obtained through the Service;
- Attempt to gain unauthorized access to the Service, other accounts, or our systems;
- Interfere with or disrupt the integrity or performance of the Service or its data.
7. Intellectual Property
The Service and its content, features, and functionality are owned by Vitale Health or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our prior written consent.
8. Disclaimers
Except as expressly provided, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.
9. Limitation of Liability
To the maximum extent permitted by law, Vitale Health and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Service. Nothing in these Terms limits liability that cannot be limited under applicable law, and these limitations do not apply to the independent clinical services provided by licensed clinicians.
10. Indemnification
You agree to indemnify and hold harmless Vitale Health and its affiliates from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or your violation of these Terms.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.
12. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of the United States and the state in which Vitale Health is organized, without regard to conflict-of-laws principles. Any dispute will be resolved in the courts located in that jurisdiction, unless otherwise required by applicable law.
